WhatsAI Terms and Conditions 1. Acceptance of Terms By using the WhatsAI platform (hereinafter referred to as "the Platform"), you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions (hereinafter referred to as "the Terms"). If you do not agree to any part of these Terms, please refrain from using the Platform. The Platform reserves the right to modify these Terms at any time. The updated Terms will be published on the Platform. Your continued use of the Platform after any modifications shall be deemed as your acceptance of the revised Terms. 2. Services Provided WhatsAI is committed to providing users with WhatsApp-based marketing services, including but not limited to campaign management, contact management, and chatbot services. The Platform strives to ensure service stability and continuity but does not guarantee uninterrupted service or an error-free experience. In cases of force majeure, technical failures, or other unforeseen circumstances, services may be interrupted or experience malfunctions. The Platform will make reasonable efforts to restore services as soon as possible but will not be held liable for any direct or indirect losses incurred by users. 3. User Rights and Obligations User Rights: Users have the right to use the Platform’s services in accordance with these Terms and the Platform’s guidelines. Users may manage and utilize their personal data within the framework of relevant laws and these Terms. User Obligations: Users must provide accurate, complete, and up-to-date registration information. Users must not engage in illegal activities using the Platform, including but not limited to: sending spam, violating privacy rights, or infringing intellectual property. Users must comply with the Platform’s usage rules and restrictions and must not disrupt its normal operation. 4. Privacy Policy The Platform places great importance on user privacy and strictly follows its Privacy Policy regarding the collection, usage, and protection of user data. Users agree that the Platform may utilize their data for service improvements and business expansion when necessary. However, the Platform will not disclose user data to third parties unless required by law or explicitly authorized by the user. For further details, please refer to the Privacy Policy published on the Platform. 5. Limitation of Liability To the maximum extent permitted by law, the Platform shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the Platform. This includes, but is not limited to, data loss, business interruptions, and profit loss. If a user violates these Terms and causes damage to the Platform or other users, they shall bear the corresponding liability and compensation. 6. Intellectual Property Rights All intellectual property rights of the Platform, including but not limited to software, trademarks, and logos, belong to the Platform. Users must not use, copy, or distribute any Platform-related intellectual property without prior written permission. Content created by users while using the Platform remains their intellectual property. However, by using the Platform, users grant the Platform a global, perpetual, and royalty-free license to use, reproduce, and distribute their content for Platform operations and service provision. 7. Termination of Services If a user violates these Terms, the Platform reserves the right to terminate services immediately without prior notice and delete all user-related data from the Platform. The Platform also reserves the right to suspend or terminate its operations at any time based on business needs, with prior notice provided to users. 8. Governing Law and Dispute Resolution These Terms shall be governed and interpreted in accordance with [Applicable Law]. Any disputes between the user and the Platform shall first be resolved through amicable negotiation. If negotiations fail, either party has the right to file a lawsuit in a court of competent jurisdiction. WhatsAI 供应商条款和条件 一、合作关系建立 供应商(以下简称 “您”)与 WhatsAI(以下简称 “平台”)就提供特定服务或产品事宜建立合作关系,您需仔细阅读并同意本条款和条件,方可开展合作。 本条款构成双方合作的法律协议,若您对本条款有任何异议,请立即停止合作相关事宜。 二、服务与产品供应 您应按照双方约定的规格、质量标准和交付时间,向平台提供服务或产品。若因特殊情况需变更交付时间或质量标准,应提前 7 个工作日书面通知平台并获得同意。 保证所提供的服务或产品不侵犯任何第三方的知识产权、隐私权等合法权益,若因您提供的服务或产品引发第三方索赔,您应承担全部法律责任和赔偿费用。 三、费用与结算 双方将根据合作内容和市场行情协商确定服务或产品的费用,费用明细应在合作协议中明确列出。 结算周期为每月,您应在每个结算周期结束后的 7 个工作日内,向平台提供合法有效的发票。平台在收到发票并审核无误后的 7 个工作日内完成付款。 四、数据与隐私 在合作过程中,若涉及平台用户数据的使用,您应严格遵守平台的隐私政策和相关法律法规,仅将数据用于履行合作协议约定的目的。 对在合作中知悉的平台商业秘密、用户数据等信息予以保密,未经平台书面同意,不得向任何第三方披露。在合作结束后,应及时删除或归还涉及平台的数据和资料。 五、双方权利与义务 平台权利与义务 有权对您提供的服务或产品进行质量监督和检查,提出合理的改进意见和建议。 按照合作协议约定支付费用,为您提供必要的合作支持和信息。 供应商权利与义务 有权获得与合作相关的合理报酬和必要信息,以顺利开展合作。 持续改进服务或产品质量,配合平台的业务发展和调整需求。 六、违约责任 若一方违反本条款,应向对方支付违约金,违约金金额为合作协议总金额的 7%。若违约金不足以弥补对方损失的,违约方还应赔偿全部损失。 若因不可抗力等不可预见、不可避免的原因导致一方无法履行本条款,不承担违约责任,但应及时通知对方并提供相关证明文件。 七、协议变更与终止 本协议的任何变更或补充需经双方书面协商一致,并签订书面协议。 在合作期限内,若一方出现严重违约行为、破产清算等情况,另一方有权提前终止本协议。合作期满后,双方若无异议,则自动延续 1 年。 八、法律适用与争议解决 本条款的解释和适用适用马来西亚法律。 双方在履行本协议过程中发生争议,应首先通过友好协商解决;协商不成的,任何一方均有权向马来西亚有管辖权的法院提起诉讼。 请您在签署合作协议前,仔细阅读并理解本条款和条件,如有疑问,请及时与平台沟通。
